1. Parties and definitions
These Terms of Service (the "Terms") govern the relationship between AKSOY SOFTWARE LTD, a company registered in England and Wales (company number 14011830, registered office: Unit Da2 Sutherland House, Sutherland Road, London, United Kingdom, E17 6BU), and the person or organisation buying a package through our website (the "Client", "you"). Hoistly is a trading name of AKSOY SOFTWARE LTD ("Hoistly", "we", "us").
- Package: one of the Starter, Growth, Authority or Summit SEO packages listed on the site.
- Services: the SEO, local SEO, content, digital PR, consultancy and reporting work listed in the Package you buy.
- Deliverables: reports, audits, content, roadmaps, dashboards and similar outputs provided to you as part of the Services.
- Service Period: the period stated on the Package (1, 3, 6 or 12 months).
- Working day: Monday to Friday, excluding public holidays in England.
2. Business customers only
Our Services are provided only to businesses acting for trade, professional or commercial purposes. By ticking the consent box at checkout you confirm that you are buying on behalf of a business, company, self-employed activity or organisation and that you are authorised to bind it.
Because of this confirmation, statutory cancellation rights given to consumers (for example under the UK Consumer Contracts Regulations 2013, EU Directive 2011/83/EU or Turkish Law No. 6502) do not, as a rule, apply to this contract. The Client is responsible for any consequences if this confirmation is untrue.
3. Placing an order and forming the contract
The contract is formed when you accept these Terms and the Refund and Cancellation Policy and successfully complete payment on the Stripe checkout page. A payment confirmation and receipt are sent to the email address you provide.
The date, time, IP address, browser details and version of the Terms you accepted are recorded as evidence of the contract. The version of the Terms in force at the time of purchase applies for the life of your contract.
We may decline an order, for example because of sanctions screening, suspected fraud or a business activity we do not serve (such as illegal content, gambling or adult content). If payment has already been taken in that case, it is returned to the same payment method.
4. Fees and payment
Package fees are in pounds sterling (GBP) and are charged once, in full and upfront, at checkout:
- Starter (1 month): £2,000
- Growth (3 months): £4,500
- Authority (6 months): £7,000
- Summit (12 months): £10,000
Payments are processed by Stripe Payments Europe Ltd. and its affiliates. Your card details are never sent to us and we do not store them. Your card issuer may ask you to verify the payment with 3D Secure.
Currency conversion, foreign transaction fees and other charges added by your bank are your responsibility. Any withholding tax, import VAT or reverse-charge obligations arising in your country are the Client's responsibility. Any tax shown separately on the checkout page is included in the total.
Package fees cannot be paid in instalments, are not a subscription and do not renew automatically.
5. Start and length of the Services
We send a welcome email within two (2) working days of payment. The Services are treated as having started at the moment payment is completed; from then on team time is reserved and preparation work begins.
The Service Period starts on the date the welcome email is sent. Deliverables not used by the end of the period (for example articles, links or calls) do not roll over, cannot be exchanged for cash and are not refunded.
Delays caused by the Client (such as not granting access or late approvals) do not extend the Service Period.
6. Your obligations
So that we can deliver the Services on time, the Client will:
- give reasonable access to the website, content management system, Google Search Console, Google Analytics, Google Business Profile and any other accounts we need within five (5) working days of kick-off;
- give approvals for content, pages and changes within five (5) working days;
- provide accurate, up-to-date and lawful information about the business;
- confirm that it has the right to use any text, images, logos and other materials it supplies and that they do not infringe anyone else's rights;
- remain responsible for changes it makes, or has third parties make, to its own site and accounts.
7. Deliverables, revisions and communication
The scope and quantity of Deliverables are as shown on the Package and in the comparison table at the time of purchase. Requests outside that scope are quoted separately.
Content deliverables include one (1) round of revisions. If no revision request is received within five (5) working days of delivery, the deliverable is treated as approved.
We communicate by email and scheduled calls. Support response times are shown in the Package comparison table and apply on working days.
8. No guarantee of results
Search rankings depend on factors outside our control, including the algorithms of Google and other platforms, competitor activity and factors within the Client's control. For that reason no particular ranking, traffic, click, sales or revenue increase is guaranteed.
Charts, scores and sample search results shown on the site and in images are illustrative only and do not represent actual or guaranteed results. We will provide the Services with reasonable skill and care, in line with accepted industry practice and the guidelines published by search engines.
9. Refunds, cancellation and withdrawal
Packages are non-refundable and cannot be cancelled once bought. Full details are in the Refund and Cancellation Policy, which forms part of these Terms.
10. Chargebacks and payment disputes
If you have a problem with a payment, you agree to email us at [email protected] before contacting your bank. We reply to every request within two (2) working days.
Raising a chargeback without good reason is a material breach of these Terms. In that case we may suspend the Services immediately, provide the payment provider with contract records, consent records and evidence of delivery, and claim the fees and costs caused by the chargeback.
11. Intellectual property
Once the fee has been paid in full, the right to use content and reports prepared specifically for you passes to the Client. You may use, edit and publish those deliverables for your own business indefinitely.
The software, templates, methods, workflows and general know-how we use remain the property of AKSOY SOFTWARE LTD. Licences for third-party tools (such as analytics or dashboard software) are subject to those providers' terms.
Unless you tell us otherwise in writing, we may list your business name and logo among our clients. You can withdraw this permission by email at any time.
12. Free tools and content
The free SEO checker, blog articles and other free content on this site are provided "as is" for general information and are not a substitute for professional advice. Checker results are generated automatically and we do not guarantee that they are accurate or complete. You agree to use the checker only on pages you own or are authorised to analyse, at a reasonable frequency and lawfully. We may restrict access in cases of misuse.
13. Privacy and data protection
We process personal data in line with our Privacy Policy, the UK GDPR and the Data Protection Act 2018. If the Services require us to process personal data on your behalf (for example user data in analytics accounts), we act as a processor and only on your documented instructions; a data processing agreement is available on request.
Each party agrees to keep the other's trade secrets and confidential information confidential, during the contract and afterwards.
14. Third-party platforms
We have no control over the policies, algorithm updates, account suspensions (such as Google Business Profile verification or suspension processes) or publishing decisions of third parties such as Google, Bing, Apple, AI platforms, directories and publishers. Such decisions do not change the fact that the Services have been performed, but we will give reasonable help towards a resolution.
15. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or in connection with this contract is limited to the fee paid for the relevant Package.
We are not liable for loss of profit, revenue, business, goodwill, data or opportunity, or for any indirect or consequential loss.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
16. Events outside our control
We are not responsible for delay or failure to perform caused by natural disasters, pandemics, war, terrorism, cyber attacks, infrastructure or internet outages, government action or any other event beyond our reasonable control. In that case our deadlines are extended for as long as the event lasts.
17. Suspension and termination
If the Client materially breaches these Terms, carries out illegal activity, harasses our team or raises an unjustified chargeback, we may suspend the Services or terminate the contract by written notice. Fees paid are not refunded in that case.
Termination does not affect rights and obligations that arose before it, or clauses intended to survive it (intellectual property, confidentiality, liability and governing law).
18. Assignment and subcontractors
We may subcontract parts of the Services (for example to freelance writers or developers), provided they follow these Terms and we remain responsible for their work. The Client may not transfer its rights under the contract without our written consent.
19. Changes to these Terms
We may update these Terms from time to time. The current version is published on this page. The version you accepted at purchase continues to apply to your existing Package.
20. General
- Entire agreement: these Terms, the Privacy Policy and the Refund and Cancellation Policy form the entire agreement between the parties.
- Severance: if any clause is found invalid, the remaining clauses stay in force.
- Waiver: not exercising a right, or exercising it late, does not waive that right.
- Third parties: no rights are given to third parties under the Contracts (Rights of Third Parties) Act 1999.
- Notices: notices are given by email and are treated as received on the working day they are sent.
- Language: these Terms are published in English and Turkish. If the two versions differ, the English version prevails.
21. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
